Terms of Service
This document explains the rules that apply to Better Gate and how information is handled and protected.

These Terms of Service ("Terms") are an agreement between you and Freesia Labs LLC ("we", "us", or "our") governing your use of the Better Gate website, console, client applications, API gateway, and related services (collectively, the "Services"). By creating an account, purchasing credits, or using the Services, you agree to these Terms.
1. Eligibility and accounts
You must be at least the legal age of majority where you live and have authority to accept these Terms for yourself or the organization you represent. You must provide accurate account information, protect login credentials and API keys, and are responsible for activity under your account.
If you discover unauthorized access, a leaked key, or another security incident, rotate affected credentials promptly and contact [email protected].
2. The Services
Better Gate provides multi-model API access, request routing, credit and usage management, client configuration, team administration, and related features. Some requests may be fulfilled through third-party model providers, cloud platforms, or other upstream channels.
Features, supported models, routes, pricing, and limits may change as provider policies, legal requirements, and the product evolve. We will provide reasonable notice of material changes where practical.
3. AI output and third-party services
AI model output may be inaccurate, incomplete, outdated, or unsuitable for your intended use. Review output before relying on or publishing it, and do not use it as the sole basis for medical, legal, financial, or other high-impact decisions.
Models, cloud platforms, and external services may be governed by their own terms and policies. We do not control and are not responsible for the independent availability, output, or rules of third-party services.
4. Regional availability and trade compliance
Commercial API Services are available only in our supported countries and regions. That list forms part of these Terms and may change in response to applicable law, sanctions and export controls, upstream provider policies, payment availability, or operational requirements. Location in a supported region does not guarantee access to every model, route, feature, or payment method.
You may not use a VPN, proxy, false account information, or any other method to evade regional restrictions, identity verification, or compliance controls. You may not allow persons, entities, or end users restricted under applicable sanctions or export controls to access the Services. You are responsible for ensuring that the account location, actual place of use, end users, and end uses comply with applicable law and relevant provider requirements.
If we reasonably believe that an account or request violates this section, we may decline registration, request additional verification, limit models or routes, suspend requests, or terminate the Services.
5. Acceptable use
You may not use the Services to:
- violate applicable law, regulatory requirements, or third-party rights;
- distribute malware or attack, scan, or disrupt systems or networks;
- bypass rate, credit, permission, security, or content restrictions;
- access accounts, data, models, or computing resources without authorization;
- create or distribute fraudulent, infringing, exploitative, or otherwise unlawful content;
- resell, share, or misuse accounts, credits, keys, or upstream resources that are not transferable; or
- conduct destructive reverse engineering or impose an unreasonable load on the Services.
We may investigate suspected abuse and restrict or suspend affected accounts, keys, routes, or requests when necessary.
6. Fees, credits, and taxes
Prices, billing units, and applicable limits are described on the purchase page, in the console, or in a separate order. You authorize us or our payment providers to charge confirmed fees.
Prepaid credits offset Service usage and are not a bank deposit or cash account. Unless required by law, credits are not redeemable for cash or transferable. Refunds, promotional credits, expiration, and special commercial terms are governed by the rules shown at purchase or a written agreement between the parties.
You are responsible for applicable taxes except those we are legally required to collect or withhold.
7. Organizations and administrators
When you join an organization account, its administrators may manage your membership, permissions, credits, API keys, and usage information. Organization customers must ensure their members and end users use the Services lawfully and that they have the rights needed to process related data.
8. Your content and data
You retain your rights in content you submit and grant us the limited rights necessary to host, transmit, process, and return request results. You represent that you have the right to submit that content and are responsible for your content, instructions, and use of results.
Our handling of information is also governed by the Privacy Policy. Before submitting sensitive or regulated data, confirm that the selected model, route, and contractual arrangements meet your requirements.
9. Intellectual property
The software, interfaces, branding, documentation, and other materials forming the Services are owned by us or our licensors. No intellectual property rights are transferred to you except the limited right to use the Services under these Terms.
You may provide feedback. We may use feedback without charge to improve the Services, but this does not give us ownership of your pre-existing content or confidential information.
10. Availability and changes
We work to keep the Services reliable but do not guarantee uninterrupted, error-free, or universally suitable operation. Maintenance, provider failures, network events, security risks, or events beyond reasonable control may cause temporary unavailability.
Beta, preview, or free features may change or end at any time and may not be covered by formal service-level commitments. Enterprise availability and support commitments are governed by separate written agreements.
11. Suspension and termination
You may stop using the Services and request account closure through available account controls. We may restrict, suspend, or terminate all or part of the Services if you violate these Terms, create payment or legal risk, threaten Service security, or leave an account inactive for an extended period.
After termination, your right to use the Services ends. Payment obligations, intellectual property provisions, liability limitations, and dispute provisions that should survive by their nature remain effective.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and the accuracy of AI output.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, or loss of profits, revenue, data, goodwill, or business opportunities.
Our total aggregate liability for claims relating to the Services will not exceed the amount you paid for the affected Services during the 12 months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.
14. Indemnification
To the extent permitted by law, you agree to indemnify Freesia Labs LLC and its affiliates against reasonable losses, liabilities, and costs arising from third-party claims related to your content, unlawful use, breach of these Terms, or infringement of another party's rights.
15. Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction where Freesia Labs LLC is registered, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes through good-faith discussions. Unresolved disputes will be brought before a court with proper jurisdiction unless mandatory law requires otherwise.
16. Changes to these Terms
We may update these Terms as the product, providers, or legal requirements change. We will provide appropriate notice of material changes. Continued use of the Services after updated Terms take effect constitutes acceptance.
